1. About DesertSprings LLC

DesertSprings LLC ("DesertSprings", "we", "our", or "us") is a private funding platform and loan brokerage company registered in the United States. We connect small business owners with grant funding opportunities and loan products issued through our network of licensed lending partners.

DesertSprings LLC is not a bank, a government agency, or affiliated with the Small Business Administration (SBA). Business loans facilitated through our platform are issued by licensed third-party lending partners. DesertSprings LLC operates as a loan broker and funding facilitator.

We are an Equal Opportunity Funding Provider. We do not discriminate on the basis of race, color, religion, sex, national origin, marital status, age, or any other characteristic protected by law.

2. Eligibility

To use our Services and submit an application, you must: (a) be at least 18 years of age; (b) be a legal resident or citizen of the United States; (c) operate a legally registered US business with a valid Employer Identification Number (EIN); (d) have a business that has been in operation for at least 6 months; (e) not be currently involved in active bankruptcy proceedings.

DesertSprings reserves the right to verify all eligibility criteria and to decline any application that does not meet our requirements. Eligibility does not guarantee approval.

3. Application Process

By submitting an application, you authorize DesertSprings LLC to collect, store, and process your personal and business information for the purpose of evaluating your funding application.

You represent and warrant that all information provided in your application is accurate, complete, and truthful. Providing false, misleading, or fraudulent information is grounds for immediate disqualification, cancellation of any approved funding, and may result in civil or criminal liability.

Submission of an application does not constitute a guarantee of approval. DesertSprings reserves the right to approve or decline any application at its sole discretion.

Applications are typically reviewed within 48 business hours of submission. You will be notified of the outcome via the email address provided in your application.

4. Fees & Payment Policy

DesertSprings LLC operates on a strict "No Approval, No Fee" policy. You will not be charged any fee — including application fees, processing fees, or origination fees — unless and until your application has been formally approved.

Grant Applications: Upon approval of a grant application, a one-time processing fee is required before disbursement of grant funds. This fee covers administrative, review, and disbursement costs. The fee amount is calculated based on the grant amount requested and is clearly disclosed during the application process.

Loan Applications: Upon approval of a loan application, a standard loan origination fee applies. This fee is charged by our licensed lending partners to cover underwriting, processing, and administrative costs. The origination fee may be paid upfront or deducted from the loan disbursement amount at the applicant's election.

All fees are non-refundable once funds have been disbursed. If funds are not disbursed within 10 business days of fee payment confirmation, a full refund of all fees paid will be issued.

Fees are collected via our secure payment processor (Stripe). DesertSprings does not accept cash, wire transfers to personal accounts, cryptocurrency, gift cards, or any other informal payment method.

5. Grant Terms

Grants provided through DesertSprings are non-repayable private funding awards. Recipients are not required to repay grant funds.

Grant funds must be used for legitimate business purposes as described in the application. DesertSprings reserves the right to request documentation confirming the use of grant funds within 90 days of disbursement.

Misuse of grant funds, including use for personal expenses or purposes materially different from those stated in the application, may result in legal action and a requirement to return all or part of the grant.

6. Loan Terms

Business loans facilitated through DesertSprings are issued by licensed third-party lending partners ("Lenders"). The specific terms of each loan — including interest rate, repayment schedule, and default provisions — are governed by the loan agreement between you and the Lender.

DesertSprings acts as a loan broker and does not directly fund, hold, or service loans. Any disputes regarding loan terms, repayments, or defaults must be directed to the applicable Lender.

All loan products comply with the Truth in Lending Act (TILA). Loan disclosures including Annual Percentage Rate (APR), total finance charges, and repayment terms will be provided before you sign any loan agreement.

Loan approval is subject to credit review, business verification, and the underwriting criteria of our lending partners. Approval of a loan application by DesertSprings does not guarantee final loan approval by the Lender.

7. Privacy & Data

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

We take the security of your personal and business information seriously. All data is encrypted using 256-bit SSL technology and stored securely in compliance with applicable data protection laws.

8. Prohibited Activities

You agree not to: (a) submit false, fraudulent, or misleading information in any application; (b) use our Services for any unlawful purpose; (c) attempt to gain unauthorized access to our systems or data; (d) use our platform to launder money or finance illegal activities; (e) impersonate any person or entity; (f) interfere with the proper operation of our Services.

Violation of any of these prohibitions may result in immediate termination of your application, cancellation of any approved funding, reporting to appropriate law enforcement authorities, and civil legal action.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DesertSprings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to loss of profits, loss of data, or business interruption.

DesertSprings' total liability to you for any claim arising from these Terms or your use of our Services shall not exceed the total fees paid by you to DesertSprings in the 12 months preceding the claim.

10. Dispute Resolution

Any dispute arising from these Terms or your use of our Services shall first be attempted to be resolved through informal negotiation. Please contact us at legal@desertsprings.com to initiate this process.

If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration shall take place in Chandler, Arizona.

You agree to waive any right to a jury trial or to participate in a class action lawsuit against DesertSprings LLC.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

12. Changes to These Terms

DesertSprings reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services following any changes constitutes your acceptance of the revised Terms.

We will make reasonable efforts to notify registered users of material changes via email.
